1. Scope

These Terms and Conditions (AGB) apply to all orders placed with Orlandosidee, Owner: Carola Berardi, Alt-Tempelhof 23–25, 12103 Berlin (hereinafter “Orlandosidee”), whether

• via the online portal www.gewuerze-orlandosidee.de or other online services operated by us,
• directly through a representative, or
• by fax.

2. Conclusion of Contract

The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to submit an order.

A contract is concluded when Orlandosidee confirms the customer’s order with an order confirmation (e.g., pro forma invoice) in text form (by e-mail, fax or in writing). The decisive factor is the receipt of the order confirmation by the customer.

3. Delivery Restrictions and Performance Modifications

All offers by Orlandosidee are valid, unless expressly stated otherwise, only “while stocks last”.

Orlandosidee reserves the right to deliver goods of equivalent quality and price or to cancel the delivery if the ordered goods are not available. In such cases, Orlandosidee will promptly notify the customer in text form (letter, fax or e-mail). Payments already made will be refunded without delay.

4. Prices and Shipping Costs

All displayed prices are final prices in euros and include statutory VAT for private customers.

Additional shipping costs apply. The amount depends on the destination country, the shipping provider and the weight of the order.

A current overview of shipping costs (including Germany and EU shipping zones) is available at all times on our page “Shipping & Delivery” and during the checkout process.

5. Payment Options and Due Date

5.1 Payment Options
For deliveries within Germany and the EU, the following payment methods are available:
• Bank Transfer (Prepayment)
• Apple Pay
• Google Pay
• PayPal

5.2 Due Date
The purchase price becomes due upon receipt of the order confirmation (pro forma invoice) (prepayment).

5.3 Payment Processing
The following payment methods are available in our online shop:

1. Bank Transfer (Prepayment)
   After completing your order, you will receive our bank details via email. Shipment takes place once payment has been received.

2. Apple Pay
   Payment is made via Apple Pay, provided you use a compatible Apple device and have a valid payment method stored in Apple Pay. Processing is carried out via our payment service provider Stripe.

3. Google Pay
   Payment is made via Google Pay, provided you use a supported device and have a valid payment method stored in Google Pay. Processing is carried out via our payment service provider Stripe.

4. PayPal
   You pay the invoice amount via your PayPal account. You will be redirected to PayPal during the checkout process.

5.4 Set-off and Retention
The customer is entitled to set-off only if the counterclaims have been legally established, are undisputed, or have been acknowledged by Orlandosidee.
The customer may exercise a right of retention only insofar as the counterclaim is based on the same contractual relationship.

6. Delivery

6.1 Orders are dispatched only after full payment has been received.

6.2 Delivery is made to the shipping address provided by the customer.

6.3 If delivery becomes impossible or unreasonable due to force majeure (e.g., natural disasters, strikes, official measures), Orlandosidee is released from its performance obligations for the duration of the disruption. In the event of permanent impossibility, payments already made will be refunded without delay.

6.4 Orlandosidee may refuse performance if it requires an effort disproportionate to the customer’s interest in fulfillment. If delivery fails despite three delivery attempts, Orlandosidee may withdraw from the contract; any payments already received will be refunded without delay.

7. Retention of Title

The delivered goods remain the property of Orlandosidee until full payment of all claims arising from the purchase contract. While the retention of title applies, the customer may not resell or otherwise dispose of the goods.

8. Warranty and Complaints

The statutory warranty provisions apply unless otherwise stated below.

8.1 Transport Damage
Customers are requested to report goods with obvious transport damage to the carrier upon delivery and inform Orlandosidee accordingly. Failure to do so does not affect the customer’s statutory warranty rights but helps Orlandosidee assert claims against the carrier.

8.2 Obvious and Hidden Defects
Obvious defects, particularly visible defects, should be reported immediately after receipt, including a detailed description. For business customers: obvious defects must be reported immediately upon discovery; hidden defects within one year from delivery.

8.3 Customer Rights in Case of Defects
In the event of justified complaints, the statutory warranty rights apply (remedy, withdrawal, reduction, and possibly damages). In the case of withdrawal, the customer must return the goods at Orlandosidee’s expense.

8.5 Disclaimer for Property Damage
Product characteristics are not guaranteed unless explicitly stated in writing. Orlandosidee is liable only for damage to the goods themselves. Further claims are excluded unless otherwise provided below.

8.6 Limitation of Liability
The above disclaimer does not apply:

• in cases of intent or gross negligence,
• for injury to life, body or health,
• for claims under the Product Liability Act,
• for delay or impossibility for which Orlandosidee is responsible,
• for legal defects, and
• for culpable breach of essential contractual obligations.

For breaches of essential contractual obligations, liability is limited to foreseeable and typical damages, unless caused by intent or gross negligence.

8.7 Notes on Health-Related Statements
Orlandosidee does not provide medical promises. All descriptions of spices and herbs serve exclusively culinary and sensory purposes. Statements regarding possible effects do not constitute medical advice. No health claims under the EU Health Claims Regulation are made. Our products are not intended to diagnose, treat, cure or prevent diseases.

9. Statute of Limitations

The statutory limitation periods apply to consumers. For business customers, the limitation period for defect claims is one year from delivery, unless cases under Section 8.6 apply.

10. Data Protection

Information on the collection, processing and use of personal data is provided in our Privacy Policy. This is part of our online offering but not of these Terms & Conditions themselves.

11. Applicable Law and Jurisdiction

The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes is Berlin.
